1. General Provisions
1.1. This public offer (hereinafter referred to as the "Offer") is an offer from **ALVERON**, a company operating under the laws of the Republic of Armenia, to enter into a contract for the provision of website creation, SMM services, and access to useful materials (hereinafter referred to as the "Services").
1.2. Acceptance of the Offer (agreement) is made by payment for the services online. In this case, the contract between the Customer and the Service Provider is considered concluded upon receipt of funds.
2. Subject of the Offer
2.1. The Service Provider agrees to provide the following Services:
- Development and launch of a website on the Tilda platform.
- Social Media Marketing (SMM) management on [specify platform].
- Access to useful materials for business development.
2.2. The Services are provided on a one-time payment basis for annual access.
3. Cost and Payment Procedure
3.1. The cost of services is determined based on the selected package:
- Package 1: 16,900 AMD/month (total for the year: 202,800 AMD).
- Package 2: 19,900 AMD/month (total for the year: 238,800 AMD).
- Package 3: 49,900 AMD/month (total for the year: 598,800 AMD).
3.2. Payment for services is made by an advance payment of 50% of the package cost before the start of the work. The remaining amount is payable upon completion of the work, but before the transfer of the result.
3.3. Payment is considered confirmed upon the receipt of funds into the Service Provider's account.
4. Service Provision Timeframes
4.1. The Service Provider agrees to provide the Services within a period of no more than [specify timeframe] from the receipt of all necessary materials from the Customer.
4.2. If there is a delay caused by the Customer, the service provision time may be extended by the length of the delay.
5. Rights and Obligations of the Parties
5.1. The obligations of the Service Provider:
- Develop and provide the result according to the selected service package.
- Maintain contact with the Customer to clarify details and make corrections.
- Ensure that all materials provided by the Customer are used within the scope of the Services.
5.2. The obligations of the Customer:
- Provide all necessary materials (content for the website, photos, texts, logos, etc.) within the agreed timeframe.
- Make payment according to the conditions of the Offer.
- Accept the result of the work within 10 working days after the materials are provided.
6. Rights of the Parties
6.1. The Service Provider has the right to suspend the provision of services if payment is not made or is delayed.
6.2. The Customer has the right to request changes within the scope of the completed work, provided they do not exceed the agreed-upon volume of services.
7. Liability of the Parties
7.1. The Service Provider is not responsible for delays or inability to perform work caused by the actions or inactions of the Customer.
7.2. In case the results do not meet the Customer’s expectations, the Service Provider agrees to make adjustments to the work within the scope of the service but is not liable for the commercial success achieved from the result.
8. Force Majeure
8.1. Neither party is liable for failure to fulfill obligations under this Offer due to circumstances beyond their control, including natural disasters, wars, strikes, or other force majeure events.
9. Termination of the Offer
9.1. In case of termination of the contract at the initiative of the Customer after making the advance payment (50%), all paid funds remain with the Service Provider, as work has been performed and material costs have been incurred.
9.2. If the Customer decides to terminate the cooperation after making the advance payment, the Service Provider has the right to terminate the offer and suspend the work, but the advance payment will not be refunded.
10. Confidentiality
10.1. The Parties agree not to disclose confidential information received during the performance of this Offer, except in cases provided by law.
11. Final Provisions
11.1. This Offer is a public proposal, and the Customer’s acceptance means full agreement with its terms.
11.2. Any matters not covered by this Offer shall be governed by the laws of the Republic of Armenia.
